Clear Channeling Lubben

Seton Hall law professor and Credit Slips guest blogger Stephen Lubben wrote and asked me if we were going to say anything about the opinion of the Ninth Circuit Bankruptcy Appellate Panel in Clear Channel Outdoor, Inc. v. Knupfer (In re PW, LLC), No. 07-1176 (Bankr. 9th Cir. July 18, 2008) and available here. The answer to any such inquiry is “I don’t know — depends on our time and what strikes our interest.” (By the way, if you have noticed the light posting over the past week and a half, the regular bloggers here have been pretty busy.)

To discourage any future inquiries along these lines, I asked Professor Lubben if he wanted to write up something for Credit Slips on this case. Furthering our good fortune, he readily agreed. In all seriousness, we are lucky to have such a careful observer of the corporate reorganization scene to comment on this important decision, dealing with the ability to submit a credit bid in a sale of assets in a bankruptcy case (For the nonlawyers, a “credit bid” is when a creditor bids the amount of its debt instead of cash.) Because asset sales play a central role in the chapter 11 process, the Clear Channel opinion will be widely discussed. Look for Professor Lubben’s post in the next few days.

Barbeques Galore, With Three Metro Atlanta Stores, Files for Bankruptcy in California And Will Liquidate

 Barbeques Galore Inc., a closely held retailer of barbeque grills and accessories in the U.S. and Australia, filed for bankruptcy, citing a decline in home sales, a “trigger” for its grill sales.  The petition for Chapter 11 protection, filed Aug. 15 in U.S. Bankruptcy Court in California listed assets and debts of $10 million to $50 million each. Barbeques Galore estimated it has from 1,000 to 5,000 creditors and said that it plans to sell the company or form “a consensual liquidating plan” with its bank lenders.

According to its website, the company has stores in Duluth, Alpharetta and on Roswell Road in Atlanta.

Gold Creek Golf Club in Dawsonville Apparently Closes, Files Chapter 11

The owner of Gold Creek Golf Club (web page was down as this is posted) in Dawsonville filed a Chapter 11 petition in the Northern District. In re Gold Creek S.L. LLC, Chapter 11 Case No. 08-22232-reb (Filed August 13, 2008).  According to this article and  this article, Regions Bank was going to foreclose in September.  According to this article, the Club has closed.

I played the course several times a few years ago and it was a very nice course at the time.  According to the article cited above -

Gold Creek, which opened in 1995 and has been named one of the best places to play golf in north Georgia, owes $62,452.35 for 2006, $55,491.12 for 2007 property taxes and over $11,000 in inventory taxes, Townley said.

Townley, who has spent months trying to recover the money owed to the county, said she has known for several months that the golf club was facing financial difficulties.

"We were told then that Regions Bank, their lender, was going to cover the 2006 taxes. But we  later learned that was not the case," she said last month. Townley added the club’s owners, Bob and Jeff Tablak, have retained a metro-Atlanta debt relief attorney. Calls made to the Tablaks have not been returned.   Townley and many others say they hate to see the club, which has played an integral part of Dawson County for many years, close. "Gold Creek has a history of being an excellent community amenity and in its current status, there are broad based casualties - jobs, neighborhood valuations, scheduled events," said Dawson County Commissioner Terri Tragesser, who lives in the upscale neighborhood.

Cathie Waddell, who operated her catering business from Gold Creek’s kitchen, said many employees did not receive their last paychecks. Gold Creek’s homeowners association has made attempts to assist club employees that lost their jobs with the club’s closing. "We basically passed the hat around for them. This is really unfortunate," Tragesser said. Residents also offered to maintain the greens at the golf course, but an agreement couldn’t be reached with the club’s owners, said Gold Creek Homeowners Association President Marty Horn.

Bottom line - find a trusted authority that can prove this company or person is registered with them. Then most of the fears are out.

Super-Priority for Canadian Workers

After years of kerfuffle that at times made BAPCPA’s debates seem easy, the Canadians finally passed their revisions to the Bankruptcy and Insolvency Act (and, for junkies, the CCAA) this summer.  Here’s a link to the Superintendent’s site for the curious to get started.

What I thought was one of the more interesting amendments was the elevation of priority for employee wages to super-priority above secured liens (up to cap of $2K per employee, and, interestingly, not on equipment liens).  There is also an unlimited super-priority for unpaid or unremitted pension obligations (but not for the traditional “underfunded” pension plan).  Finally, to add a good ol’ socialist kicker, an administrative beast called the Wage Earner Protection Program will come into being to ensure, among other things, payment of workers’  claims and then enjoy subrogation to the bankruptcy claims (thus taking the risk of debtor-employer inability to pay the super-claim).

The interesting lobbying game is the lender lobby: yes, they’ve been rending some garments, begrudging the “unfairness” of not giving secured lenders their bargained-for rights through the danger of such an unexpected ex post lien (although, ironically, one law-firm communique I saw gave its lender-clients advice on how to prepare, including encouraging oversight of debtors to have competent payroll services that remit pension obligations — which looks like signs of an adjusting market to me).  But they haven’t wanted to make too big a stink (”No, we’re against workers’ priorities!”).  The rearguard grumbling they’ve had is how it would have been better to have such employees covered by the general taxpayers.

Will secured credit dry up in Canada as we know it?  Seems to have done pretty well notwithstanding the insolvency horror of a priming lien down here.  I reckon it’ll chug along just fine north of the border too.  We’ll see!

Thirty of the 40 salaried employees the company laid off were at least 38 years old. It has the burden to prove that its decision was based on a reasonable factor other than age. The company had its supervisors rate their subordinates based on their performance flexibility and critical skills. Twenty-eight of those 56 employees sued under the ADEA claiming Knolls illegally fired them because of their age. Knolls totaled those scores and gave the employees additional points based on their years of service. In that case Meacham versus Knolls Atomic Power Laboratory the Supreme Court interpreted a provision of the ADEA that permits an employer to take an adverse employment action against an employee. In Meacham Knolls Atomic Power Laboratory was planning to lay off a number of employees. The Supreme Court ruled that if an employer seeks to rely on that defense. For example it would not be illegal to consider criteria for a particular role in a movie that has a disparate impact on age if the part calls for someone of a particular age. At the trial a jury found Knolls had violated the ADEA because its layoff procedure had a disparate impact based on age. In other words the ADEA permits employers to discriminate based on age considering age is legitimately necessary under the circumstances. The United States Court of Appeals for the Second Circuit initially affirmed the jurys findings but after the United States Supreme Court asked it to reconsider the Second Circuit reversed itself and ruled in favor of Knolls. The BFOQ defense states that it is not unlawful for an employer to take adverse employment actions otherwise prohibited by the ADEA where age is a bona fide occupational qualification reasonably necessary to the normal operation of the particular business. The Supreme Court then agreed to hear the case and eventually reversed the Second Circuit and reinstated the jurys finding that Knolls policy unlawfully discriminated because of age. It then used those totals to decide who to lay off. In reaching its conclusion that the employer has the burden to prove the reasonable factors other than age defense the Supreme Court looked at another provision of the ADEA the bona fide occupational qualification defense. Specifically the jury found that although the plaintiffs did not prove that Knolls intentionally discriminated against them they did prove that Knolls method of deciding who to lay off disproportionately harmed older workers.
